World Wide Web Casinos in Reverse Merger

NEW YORK -- USA Growth Inc. has signed a Letter of Intent to acquire World Wide Web Casinos Inc., of Santa Ana, Calif. The acquisition will be consummated through a stock swap, leaving WWWC in control as a publicly held corporation. The transaction is commonly known as a reverse merger.

WWWC is a casino entertainment company, holding a controlling interest, through a wholly owned subsidiary, in the St. James Club Casino, located on the Caribbean Island of Antigua. In addition, the company is seeking to acquire other casinos. The company also plans to operate a worldwide Internet casino and sports book from Antigua, which is set to go live in the next 90 days. The company has also developed a 3D virtual reality casino, the company's web site at www.netcasino.com is available on a non-wagering basis for visits by potential players.
