Starnet Files Proxy Statement for December 8 Shareholders Meeting16 November 2000ST. JOHN'S, Antigua - (Press Release) - Nov. 16, 2000 -- Starnet Communications International Inc. (OTC-BB: "SNMM") ("Starnet"), a leading provider of interactive media and information systems for companies engaged in the internet gaming industry announced today that it has filed its Definitive Proxy Statement with the United States Securities and Exchange Commission ("SEC") by which Starnet will be seeking shareholder approval for the reorganization of Starnet's corporate structure. Under the terms of the proposed reorganization, Starnet will become a wholly owned subsidiary of World Gaming, Plc, a newly formed company incorporated in England and Wales. Starnet is now proceeding with immediate distribution of the Proxy Statement/Prospectus to shareholders. A special meeting of shareholders to vote on the reorganization proposal has been scheduled for December 8, 2000 at 10:00 a.m., local time, at the Royal Antiguan Hotel in St. Johns, Antigua. Holders of record of Starnet common stock on the record date of November 1, 2000 are entitled to vote at the special shareholders meeting, either in person or by proxy. In presenting the proposal for reorganization to shareholders, Mr. Fred Hazell, Chairman and interim President and Chief Executive Officer of Starnet, commented that "the reorganization will add shareholder value over time as it will enable our Company to gain business advantages that are not currently available under our present corporate structure." As conveyed in the Proxy Statement/Prospectus, he urges shareholders to join him in "supporting this important opportunity." Mr. Hazell reiterated that the Board of Directors does not intend to consummate the reorganization if the ordinary shares of World Gaming Plc are not admitted or authorized to trade on a stock exchange or trading facility in the U.K., U.S. or elsewhere, either directly as ordinary shares or as American depositary receipts. Those shareholders holding in street name are being sent a Proxy Statement/Prospectus which will include a Voting Instruction Form. In addition to attending the special meeting in person, the Voting Instruction Form will provide three alternative methods for making votes known. Shareholders can simply complete the Form and return it by mail at the address listed, using the included pre-addressed envelope. In addition, shareholders will be able to vote on the Internet at www.proxyvote.com or by telephone. Instructions for voting online and by telephone are included with the Proxy materials. Shareholders will utilize their 12-digit Control Number located on their Voting Instruction Form. The Company has also elected to send materials electronically to those shareholders holding in street name who have elected to receive electronic distribution of materials from ADP Investor Communication Services. Shareholders of record will also be receiving a Proxy Statement/Prospectus along with a proxy card. These shareholders may also attend the Special Meeting in person, or may return the proxy card to the Company's Transfer agent, Pacific Stock Transfer Co., in the postage pre-paid envelope accompanying the Proxy Statement/Prospectus.
