e-Success and ClearPay to Form ClearTech Inc.

VANCOUVER, Canada –(Press Release) -- June 8, 2001 --- e-Success Incorporated, a leading provider of real time auditing and fraud detection services, and a pioneer in the on-line gaming industry, announced today that its has entered into an agreement to form a joint venture with ClearPay, LLC of Nevada.

Under the terms of the agreement, ClearTech Inc., a new Canadian company, will be formed and will be jointly owned by e-Success and ClearPay. e-Success will transfer its non-gaming Citadel Risk Management software to ClearTech, along with all of e-Success' resources and hardware presently assigned to the e-Success Citadel business unit.

Additionally, e-Success agrees to transfer proprietary electronic checking software developed by e-Success for ClearPay, and to exclusively contract ClearTech, on a per transaction fee basis, to provide hosting services and support for e-Success' Interactive Gaming Citadel Risk Management Services. In return, the agreement with ClearPay allows e-Success and ClearTech to achieve both immediate and long-term financial stability.

Citadel provides a system that allows credit card transaction data, or other payment information, to be evaluated against a large database of records accumulated from payment experiences of participating merchants and data added from independent sources.

Citadel, combined with other external third party fraud detection systems, analyzes transaction data and measures the level of risk associated with each order, returning a related risk score back to a merchant in real time. Merchants then make a decision about whether to accept or reject the order.

This service provides an advanced and more comprehensive risk management tool that can be highly tuned to prevent specific fraud patterns by merchant, product line, or customer profile.

"The check processing software that e-Success has already developed for us is core to our entire product line", stated Dick Gray, Director of ClearPay. "As we continue to bring significant transaction volumes on-line, it was the logical next step to bring our two companies closer together".

ClearTech Inc. will provide payment processing gateway services for the Interactive Gaming and eCommerce industries, initially focussed on providing electronic check processing and independent payment fraud management services. The parties have executed a legally binding Letter of Intent that provides a framework upon which both parties intend to execute a formal written contract within a short period of time.

e-Success has developed a sophisticated fraud detection system that is explicitly tuned to detect fraudulent trends and patterns in gaming. Additionally, e-Success possesses a strong technical team with experience in transaction processing and interfacing into other third party systems.

e-Success has developed a private labeled payment gateway to facilitate end-to-end processing of electronic checks including: capturing payment information via secure web pages, scrubbing transactions through Citadel, and accessing additional external authentication databases, fraud detection systems and security systems, and passing transactions to third party processors for settlement.

With the restructuring, e-Success will focus its entire efforts on its leading real time auditing product Integrity, a customer assurance solution for real-time auditing of on-line businesses.
