Diamond I to Acquire U.K. Gaming Software Company23 August 2005LAS VEGAS -- (PRESS RELEASE) -- Diamond I, Inc. (OTCBB: DMOI), a developer of wireless gaming products, today announced that it has obtained an option to acquire Touchdev Limited, pursuant to which Touchdev would be acquired by Diamond I for a combination of cash and stock. Touchdev Limited, a private U.K. company, is the developer of an array of internally-derived and copyrighted gaming software products, with wireless PDA and cellular-phone-based capabilities. Touchdev has created 12 different games, including Texas Hold'em Poker (touchpoker.com). Touchpoker.com is an Internet site where interested persons can currently play poker for entertainment purposes only. "Our acquisition of Touchdev's proprietary software portfolio will represent an exciting addition to our own proprietary WifiCasino GS(TM) wireless hand-held gaming system," said David Loflin, Diamond I's CEO. Mr. Loflin further noted that, because of Touchdev's proprietary software and other intellectual properties, the acquisition of Touchdev is expected to provide Diamond I a platform from which to become a dynamic participant in the wireless hand-held gaming segment. Brad Thomas, owner of Touchdev, stated, "This will be a fusion of two highly complementary technology companies. At Touchdev, we have created world-class play-for-fun poker software for mobile devices, and Diamond I is at the forefront of wireless gaming development. We see Diamond I as being very well placed to generate substantial value from our TouchPoker technology in the marketplace. These are markets which are growing exponentially and customers continue to demand ever more poker. The strategic fit is excellent. Diamond I stockholders will be well served by this timely and decisive acquisition. We look forward to working with Diamond I to integrate the two businesses." |
