Alliance Gaming Acquires Crown Gaming

7 January 2004

LAS VEGAS – (Press Release) -- Alliance Gaming Corp. (NYSE: AGI) announced today that it has acquired England-based Crown Gaming from Crown Leisure Limited, one of the United Kingdom's largest distributors of gaming and amusement machines, and the formation of Bally Gaming and Systems UK Limited. The acquisition includes Crown's distributorship agreements for a wide variety of automated table games and video bingo machines along with existing maintenance agreements with casino operators.

Bally Gaming and Systems UK Limited will be headquartered in Manchester, England. Alliance Gaming, through its Bally Gaming and Systems business unit, acquired Honeyframe Software Development Limited, a leading UK gaming machine management systems company, in May 2003. With the Crown Gaming acquisition, Bally now has the ability to directly offer a full range of both gaming and systems products to operators, both now and in the future as the market grows.

While limited-payout slot machines are currently legal in Great Britain, it is widely expected that Las Vegas-style slot machines may eventually be legalized.

"Alliance Gaming continues to focus on building a foundation for the future growth projected in the UK," said Robert Miodunski, President and Chief Executive Officer of Alliance Gaming. "We are now uniquely positioned to offer a complete package, both games and systems, to existing casino, bingo and arcade operators, along with operators who plan large Las Vegas-style casinos when new legislation is projected to open up the market."

Paul Roden, previously the Gaming Director for Crown Gaming, will serve as Managing Director of Bally Gaming and Systems UK Limited.

"I'm pleased to have strengthened our relationship with Bally through the sale of Crown Gaming," said Michael Gemson, Managing Director of Crown Gaming. "I would especially like to thank Paul Roden for all of his hard work and efforts in helping complete this transaction and in his contribution towards making Crown the number one distributor of amusement and gaming equipment in the UK. I am sure he will have a bright future and I look forward to working with him to sell Bally products into the UK market."
