Atronic Acquires MIS Group

21 March 2003

LUEBBECKE, Germany – (Press Release) -- Atronic International, the Casino Division of the German Gauselmann Group, on March 5th entered into a sale and purchase agreement to acquire 100 % of the international systems company MIS (Monaco Information Systems).

The acquisition followed several years of close cooperation between the two companies starting with the European Alliance. This resulted in a significant impact in several European markets.

"Although our company grew quite rapidly over the last few years we were always aware of the need to diversify our product portfolio in order to position ourselves as a truly global player" says Michael Gauselmann, Owner and chairman of the Atronic group.

"The acquisition of the MIS - Group, the last major independent systems company in the world, not only gives us a well established brand name and state of the art technology, but also supports our vision of Great Games, Great People. We see a further integration of gaming machines and systems occurring over the next several years and with MIS we found a highly motivated, multi-cultural team that compliments Atronic's skills perfectly," adds Gerhard Burda, Managing Director and COO, Atronic International.

MIS develops and distributes advanced Casino system solutions incorporating its "Galaxis" Casino accounting, player tracking and marketing software. It's wholly owned subsidiary "GRIPS", headquartered in Graz, Austria, is a world leader in Smart Card technology, which is seen by many operators as the ultimate solution for cashless gaming. MIS's Casino floor network, " Crystal Web," is one of the most advanced in the worldwide casino market. "We at MIS / GRIPS are extremely delighted with this opportunity. Atronic's truly global structure gives us access to a highly motivated and well-organized sales and marketing organization, supporting our own global expansion," says Christian Fabre, founder and CEO of MIS - Group.

Atronic International and sister companies Atronic Americas and Atronic Australia are members of the family-owned and operated Gauselmann Group, which has sold more than 1.8 million machines since inception, and 100,000 gaming devices in the year 2002 alone. Atronic, the world's third largest slot maker, is headquartered in Germany, and has offices in Australia, Austria, Great Britain, Peru, South Africa, and the United States of America. Atronic is dedicated to producing only the highest quality of entertaining games and products, which are being operated in 78 countries worldwide. Atronic holds a total of 144 worldwide gaming licenses including the United States of America, where it is licensed to sell machines in 22 states and to 115 tribes.
